Commercial Credit Terms

Commercial Credit Terms

These terms and conditions shall apply to the exclusion of all others including any terms and conditions of the customer (whether on the Customer’s order form or otherwise).  The customer acknowledges, by receipt of an invoice or delivery docket from the Seller that these terms and conditions embody the whole agreement between the parties and agrees to be bound by them.
Unless otherwise agreed to in writing by the Seller, (which shall mean WA Outback Action t/as Irvin Bullbars), payment for the goods and all other costs and expenses herein mentioned shall be made to the Seller within;

1) COD, or
2) Seven (7) days of receipt of goods, or
3) if after having credit approval, thirty (30) days from the end of the month during which the goods are delivered to the buyer.

Should the buyer delay or default in respect of any payment due to the Seller, the Seller shall have the right, in addition to all other rights which are herein given or which are conferred by law, to charge

1) a $45.00 administration fee per outstanding invoice and,
2) interest at the rate equivalent to ten (10) percent per annum calculated monthly, and/or parts thereof, from the due date to the date of full and final payment by the buyer including any amounts, costs and expenses herein mentioned.

Any payment by the Buyer will be credited first against the administration fees and interest accrued to the date of payment.
The Seller reserves the right without prejudice to any other remedy it may have, either to terminate all or any contracts then existing between the Seller and the Buyer or suspend further deliveries under any such contracts forthwith by written notice if the buyer fails to pay for any one invoice on the due date.  If in the Sellers opinion, the Buyer’s financial status is or becomes unsatisfactory to the Seller, the Seller reserves the right to require payment of the price in cash in advance, or security for the price in respect of all invoices and for goods previously delivered for which payment has not been received.

Any expenses, costs or disbursements incurred by the supplier in recovering any outstanding monies including debt collection agency fees and solicitor’s costs shall be paid by the Customer/Buyer.

Title of goods shall not pass to the buyer until such time that payment for those goods has been fully received by the Seller.

Business Ownership Changes:

Changes to the business ownership or organisation as stated on the Credit Application Form shall be advised to the Seller within seven days prior to change.

Trade References:

Trade References provided to the Seller can/will be contacted to gain information on credit verification.

All prices include GST and are subject to change without notice.

Intellectual Property:

The Buyer shall not alter or tamper with any of the trade or other marks or numbers of the goods.

The Buyer shall nominate a Transport company of their choice.  The Carrier assumes responsibility upon receipt of product and all claims for damage or shortage must be filed by the customer against the carrier.  If a container/wrapping/shipping unit appears to have been damaged during transit from the Seller to the Buyers receiving point, a claim must be filed with the transportation company. A visual inspection is performed on all packaging prior to shipment from the Seller for correct quality and condition. All freight, insurance and risk are the Buyers responsibility

Return of goods for credit:

The Seller is not obligated to accept the return of any goods for credit.  All goods must be approved by the Seller prior to being returned, and authorized returns will only be accepted if they are in good saleable condition.  The Seller reserves the right to charge a handling fee equal to 15% of the price of the invoiced goods returned.  In every case the original invoice and date must be quoted.  Returns will only be accepted within 14 days from the date of invoice and the products which have been specifically produced to the buyer’s specifications and are not stock items are not returnable.

Irvin Bullbars grants the original purchaser a limited warranty of product to be free from defects in materials and workmanship for the period of two (2) years after retail purchase from an authorized Irvin Bullbar dealer. This warranty does not cover the cost, nor will be responsible for any costs due to the removal, installation, transport or any other loss due to warranty servicing.
Improved finishes, such as polishing or powder coating are not subjected to this warranty. Nor will be products sourced and used in the manufacture of Irvin Bullbar products, (such as indicators).  These products will be affected by that manufacturers warranty conditions.
